Jinko Solar Completes Sale of Controlling Stake in U.S. Manufacturing Facility

On June 2, Jinko Solar Co., Ltd. announced that the transaction regarding the sale of a controlling stake in its U.S. manufacturing facility has officially closed.

Previously, Jinko Solar's wholly-owned subsidiary, Jinko Solar (U.S.) Holding Inc., entered into an equity purchase agreement with FH JKV Holdings Limited to sell its 75.1% equity interest in the U.S. facility to the latter. The total consideration for the transaction is USD 191.505 million.

According to the agreement, the transaction consideration is to be paid in installments. Upon fulfillment of the closing conditions, the counterparty was required to make an initial equity transfer payment of USD 97.6676 million, which accounts for 51% of the total transaction consideration.

The latest announcement indicates that Jinko Solar (U.S.) Holding Inc. has received the aforementioned initial equity transfer payment, and the equity change procedures for the U.S. facility have also been completed. The transaction officially closed on May 31, 2026. Effective June 1, 2026, the U.S. manufacturing facility will no longer be consolidated into the company's financial statements.

It is reported that the target of this transaction is JinkoSolar’s fully constructed and operational 2GW module manufacturing facility in the United States. In 2025, this facility generated a revenue of RMB 8.545 billion and a net profit of RMB 1.341 billion, with a capacity utilization rate of 90.7%. Following the completion of the transaction, Jinko Solar (U.S.) Holding's equity stake in the facility will decrease to 24.9%.

Jinko Solar stated that this transaction aims to optimize its overseas asset allocation and reduce operational risks and management costs. After the transaction, the modules produced by the target company can still be sold under the JinkoSolar brand as per the agreement. Meanwhile, JinkoSolar will continue to participate in the U.S. market in a compliant and steady manner, working jointly to ensure that the facility meets U.S. domestic manufacturing regulations and securing the supply of localized products.
